Çukur & Partners acted as lead legal counsel to the seller, Polser Kompozit Sanayi ve Ticaret Anonim Şirketi, in connection with a private equity investment by the Bölgesel Kalkınma Fonu (Regional Development Fund), managed by the Türkiye Kalkınma Fonu (Türkiye Development Fund – TDF).
The transaction was structured as a primary capital increase, pursuant to which the fund acquired a minority equity stake in the company. This structure supports the company’s strategic growth objectives in advanced composite manufacturing, while preserving its existing shareholding balance and corporate governance framework.
Our firm advised on all legal aspects of the transaction, including transaction structuring, corporate and shareholders’ matters, negotiation of the transaction documentation, and closing mechanics.
