Toplu \u0130\u015ften \u00c7\u0131karman\u0131n Tan\u0131m\u0131 ve Hukuki Dayana\u011f\u0131<\/b><\/p>\n<p class=\"p1\">G\u00fcn\u00fcm\u00fcz \u00e7al\u0131\u015fma hayat\u0131nda ya\u015fanan ekonomik dalgalanmalar, sekt\u00f6rel k\u00fc\u00e7\u00fclmeler ve yap\u0131sal de\u011fi\u015fiklikler, i\u015fverenleri zaman zaman zorlay\u0131c\u0131 kararlar almaya itmekte; bu durum da toplu i\u015ften \u00e7\u0131karma s\u00fcrecine ba\u015fvurulmas\u0131n\u0131 ka\u00e7\u0131n\u0131lmaz hale getirmektedir. Toplu i\u015ften \u00e7\u0131karma, bir i\u015fverenin belirli bir zaman dilimi i\u00e7erisinde \u00e7ok say\u0131da i\u015f\u00e7iyi ayn\u0131 anda veya k\u0131sa aral\u0131klarla i\u015ften \u00e7\u0131karmas\u0131 durumunu ifade eder. 4857 say\u0131l\u0131 \u0130\u015f Kanunu\u2019nun <i>\u201cToplu \u0130\u015f\u00e7i \u00c7\u0131karma\u201d<\/i> ba\u015fl\u0131kl\u0131 29. maddesinde <i>\u201c\u0130\u015fveren; ekonomik, teknolojik, yap\u0131sal ve benzeri i\u015fletme, i\u015fyeri veya i\u015fin gerekleri sonucu toplu i\u015f\u00e7i \u00e7\u0131karmak istedi\u011finde, bunu en az otuz g\u00fcn \u00f6nceden bir yaz\u0131 ile, i\u015fyeri sendika temsilcilerine, ilgili b\u00f6lge m\u00fcd\u00fcrl\u00fc\u011f\u00fcne ve T\u00fcrkiye\u00a0\u0130\u015f\u00a0Kurumuna bildirir.\u201d<\/i> d\u00fczenlenmi\u015ftir. \u00d6zellikle i\u015fverenlerin organizasyonel de\u011fi\u015fiklik, verimlilik art\u0131rma veya maliyet azaltma gibi gerek\u00e7elerle ba\u015fvurmak durumunda kald\u0131\u011f\u0131 toplu i\u015ften \u00e7\u0131karmalar, yaln\u0131zca bir y\u00f6netim tercihi de\u011fil, ayn\u0131 zamanda ciddi hukuki y\u00fck\u00fcml\u00fcl\u00fckler do\u011furan bir i\u015flemdir. Bu nedenle Yarg\u0131tay i\u00e7tihatlar\u0131, toplu i\u015ften \u00e7\u0131karman\u0131n salt ekonomik gerek\u00e7elere dayand\u0131r\u0131lmas\u0131n\u0131n yeterli olmayaca\u011f\u0131n\u0131, i\u015fverenin bu gerek\u00e7eleri a\u00e7\u0131k, somut ve ispat edilebilir \u015fekilde sunmas\u0131 gerekti\u011fini vurgulamaktad\u0131r.<\/p>\n<p class=\"p1\"><b>2. Toplu \u0130\u015ften \u00c7\u0131karma S\u00fcrecinin Hukuki \u015eartlar\u0131 <\/b><\/p>\n<p class=\"p1\">4857 say\u0131l\u0131 \u0130\u015f Kanunu\u2019nun 29. maddesinde belirlenen \u00e7er\u00e7evede, toplu i\u015ften \u00e7\u0131karma i\u015fleminin yasal ge\u00e7erlilik kazanabilmesi i\u00e7in baz\u0131 \u00f6n ko\u015fullar\u0131n yerine getirilmesi gerekir. Bunlar \u015fu \u015fekilde s\u0131ralanabilir;<\/p>\n<ul class=\"ul1\">\n<li class=\"li1\">\u0130\u015fyerinde Belirli Say\u0131da \u0130\u015f\u00e7inin \u00c7al\u0131\u015f\u0131yor Olmas\u0131<\/li>\n<\/ul>\n<p class=\"p1\">Ayn\u0131 i\u015fyerinde, 30 g\u00fcn i\u00e7inde; 20 ila 100 i\u015f\u00e7i varsa en az 10 i\u015f\u00e7i, 101 ila 300 i\u015f\u00e7i varsa en az %10 oran\u0131nda i\u015f\u00e7i, 301 ve \u00fczeri i\u015f\u00e7i varsa en az 30 i\u015f\u00e7i i\u015ften \u00e7\u0131kar\u0131l\u0131yorsa, bu \u201ctoplu i\u015ften \u00e7\u0131karma\u201d say\u0131l\u0131r.<\/p>\n<ul class=\"ul1\">\n<li class=\"li1\">Fesih Nedeni: Ekonomik, Teknolojik veya Yap\u0131sal Gerek\u00e7eler<\/li>\n<\/ul>\n<p class=\"p1\">Toplu \u00e7\u0131karmaya konu fesihler, i\u015f\u00e7inin ki\u015fisel davran\u0131\u015f\u0131 ya da performans\u0131na de\u011fil, i\u015fyeri veya i\u015fin gereklerine dayanmal\u0131d\u0131r. Bu gerek\u00e7elerin yaz\u0131l\u0131 ve somut belgelerle desteklenmesi gerekir.<\/p>\n<ul class=\"ul1\">\n<li class=\"li1\">Yaz\u0131l\u0131 Bildirim Yap\u0131lmas\u0131<\/li>\n<\/ul>\n<p class=\"p1\">\u0130\u015fveren, en az 30 g\u00fcn \u00f6nceden; \u0130\u015eKUR\u2019a, varsa i\u015fyeri sendika temsilcisine ve ilgili b\u00f6lge m\u00fcd\u00fcrl\u00fc\u011f\u00fcne yaz\u0131l\u0131 bildirim yapmak zorundad\u0131r. Bildirimin i\u00e7eri\u011finde i\u015ften \u00e7\u0131kar\u0131lacak ki\u015fi say\u0131s\u0131, fesih gerek\u00e7eleri ve \u00e7\u0131k\u0131\u015f tarihi belirtilmelidir. Bu bildirimin ard\u0131ndan 30 g\u00fcn sonra fiili olarak i\u015ften \u00e7\u0131karmalar ger\u00e7ekle\u015ftirilebilecektir.<\/p>\n<ul class=\"ul1\">\n<li class=\"li1\">Sendika Varsa G\u00f6r\u00fc\u015fme Y\u00fck\u00fcml\u00fcl\u00fc\u011f\u00fc<\/li>\n<\/ul>\n<p class=\"p1\">\u0130\u015fyerinde yetkili bir i\u015f\u00e7i sendikas\u0131 varsa, i\u015fveren bu sendika ile de g\u00f6r\u00fc\u015fme yapmak zorundad\u0131r. Yine sendika ile yap\u0131lan g\u00f6r\u00fc\u015fmelerin de yaz\u0131l\u0131 olarak kay\u0131t alt\u0131na al\u0131nmas\u0131 \u00f6nem arz etmektedir.<\/p>\n<p class=\"p1\"><b>3. Arabuluculuk S\u00fcrecinin Rol\u00fc <\/b><b><\/b><\/p>\n<p class=\"p1\">Uygulamada saym\u0131\u015f oldu\u011fumuz bu bildirimlerin usule uygun yap\u0131lmamas\u0131 veya sadece \u015fekli olarak yerine getirilmesi, daha sonra a\u00e7\u0131lacak davalarda i\u015fverenin aleyhine sonu\u00e7lar do\u011furabilmektedir. Nitekim Yarg\u0131tay kararlar\u0131nda da, toplu i\u015ften \u00e7\u0131karma sonras\u0131 yap\u0131lan fesihte, i\u015fverenin sadece genel ekonomik gerek\u00e7elere dayanmas\u0131n\u0131n yetersiz oldu\u011fu ve somut kan\u0131tlar sunulmad\u0131\u011f\u0131 takdirde feshin ge\u00e7ersiz say\u0131laca\u011f\u0131 ifade edilmi\u015ftir. Bu gibi durumlarda, i\u015fverenin s\u00fcreci daha kontroll\u00fc y\u00f6netebilmesi ve taraflar aras\u0131nda do\u011fabilecek uyu\u015fmazl\u0131klar\u0131 yarg\u0131ya ta\u015f\u0131nmadan \u00e7\u00f6z\u00fclebilmesi ad\u0131na arabuluculuk kurumu \u00f6ne \u00e7\u0131kan bir ara\u00e7 haline gelmektedir.<\/p>\n<p class=\"p1\">Her ne kadar 7036 Say\u0131l\u0131 \u0130\u015f Mahkemeleri Kanunu i\u015f\u00e7ilik alacaklar\u0131 ve i\u015fe iade davalar\u0131nda zorunlu arabuluculu\u011fu d\u00fczenlese de, toplu i\u015ften \u00e7\u0131karma gibi sistemik etkileri olan s\u00fcre\u00e7lerde, hen\u00fcz hukuken tan\u0131ml\u0131 bir \u201ctoplu arabuluculuk\u201d mekanizmas\u0131 bulunmad\u0131\u011f\u0131n\u0131 belirtmek uygun olacakt\u0131r.<\/p>\n<p class=\"p1\">Arabuluculuk s\u00fcreci, yaln\u0131zca bir uyu\u015fmazl\u0131k \u00e7\u00f6z\u00fcm arac\u0131 de\u011fil; taraflar aras\u0131nda m\u00fczakereye dayal\u0131 bir ileti\u015fim zemini olu\u015fturabilir. Ancak bu s\u00fcre\u00e7 tamamen g\u00f6n\u00fcll\u00fcl\u00fck esas\u0131na dayan\u0131r ve t\u00fcm g\u00f6r\u00fc\u015fmeler gizlilik ilkesiyle korunur.<\/p>\n<p class=\"p1\"><b>4. Arabuluculuk S\u00fcrecinin Taraflar A\u00e7\u0131s\u0131ndan De\u011ferlendirilmesi<\/b><\/p>\n<p class=\"p1\">\u00d6zellikle i\u015fverenin fesih s\u00fcreci ba\u015flamadan ya da hemen sonras\u0131nda zorunlu veya ihtiyari olarak ba\u015flayan arabuluculuk s\u00fcrecinde \u00e7al\u0131\u015fanlarla ve \u00e7al\u0131\u015fanlar\u0131 temsil eden temsilcilerle uzla\u015fma aray\u0131\u015f\u0131na girmesi, hem yarg\u0131 yoluna ba\u015fvurulmas\u0131n\u0131 \u00f6nleyebilir ve hem de i\u015fverenin \u00e7at\u0131\u015fmadan \u00e7ok \u00e7\u00f6z\u00fcm \u00fcretmeye odaklanan bir yol izledi\u011fini yans\u0131t\u0131r. Bu \u00e7er\u00e7evede, arabuluculu\u011fun sadece uyu\u015fmazl\u0131k \u00e7\u00f6z\u00fcm\u00fc de\u011fil, ayn\u0131 zamanda potansiyel uyu\u015fmazl\u0131klar\u0131n \u00f6nlenmesi a\u00e7\u0131s\u0131ndan da i\u015flevsel bir ara\u00e7 olarak de\u011ferlendirilmesi m\u00fcmk\u00fcnd\u00fcr.<\/p>\n<p class=\"p1\">\u00c7al\u0131\u015fanlar a\u00e7\u0131s\u0131ndan toplu i\u015ften \u00e7\u0131karma s\u00fcreci, yaln\u0131zca bir i\u015f kayb\u0131 de\u011fil; ayn\u0131 zamanda gelece\u011fe dair belirsizlik, hukuki haklara ili\u015fkin bilgi eksikli\u011fi ve i\u015fverene duyulan g\u00fcvenin sars\u0131lmas\u0131 anlam\u0131na da gelebilir. Bu ba\u011flamda, arabulucu e\u015fli\u011finde y\u00fcr\u00fct\u00fclen g\u00f6r\u00fc\u015fmeler, \u00e7al\u0131\u015fanlar\u0131n hem yasal hak ve taleplerini daha sa\u011fl\u0131kl\u0131 de\u011ferlendirmelerine hem de s\u00fcrece daha bilin\u00e7li \u015fekilde kat\u0131lmalar\u0131na olanak sa\u011flayarak, taraflar aras\u0131nda daha dengeli bir ileti\u015fim zemini olu\u015fturabilir.<\/p>\n<p class=\"p1\"><b>5. Sonu\u00e7<\/b><\/p>\n<p class=\"p1\">Toplu i\u015ften \u00e7\u0131karma s\u00fcreci, yaln\u0131zca teknik ve hukuki bir i\u015flem de\u011fil; ayn\u0131 zamanda i\u015fyeri i\u00e7i dengeler ve i\u015fverenin d\u0131\u015f d\u00fcnyadaki kurumsal alg\u0131s\u0131n\u0131 etkileyen \u00e7ok boyutlu bir s\u00fcre\u00e7tir. Toplu i\u015ften \u00e7\u0131karmalar\u0131n ard\u0131ndan ilerleyecek zorunlu veya ihtiyari arabuluculuk uygulamalar\u0131, hem i\u015f bar\u0131\u015f\u0131n\u0131n korunmas\u0131 hem de ileride do\u011fabilecek mali ve hukuki risklerin azalt\u0131lmas\u0131 a\u00e7\u0131s\u0131ndan taraflar lehine \u00f6nemli bir alternatif olarak de\u011ferlendirilebilir.<\/p>\n<p><strong>Av.
